Partner Terms of Service

These Partner Terms of Service ("Partner Terms") govern the relationship between Workstak ("the Platform") and the Tool Provider ("Partner") listing their software product on the Workstak Marketplace.
1. The Workstak Model: "Buyers' Club"
Workstak operates as a premium subscription Buyers' Club. We curate elite tools, pair them with custom workflow guides and playbooks, and offer members exclusive discount rates. Unlike transaction-fee networks, we do not process customer checkouts or split payments on-platform. Members obtain unique codes from Workstak and complete transactions directly on your website or billing checkout flow.
2. Promo Code Pool & Supply Obligations
To list a product on Workstak, the Partner agrees to the following promotional code mechanics:
- Code Pool Provision: Partner must generate and supply Workstak with a pool of unique, single-use, non-guessable promotional codes matching the approved discount rate (e.g., the agreed exclusive rate off MSRP) that integrate with their billing provider (e.g., Stripe, Lemon Squeezy, Paddle).
- Replenishment SLA: Partner is responsible for keeping the promo code pool populated. If the available code count falls below twenty (20) units, Workstak will notify the Partner, and the Partner must supply a new batch of codes within forty-eight (48) hours.
- Code Validity: Partner warrants that all supplied codes are valid, active, and apply the correct agreed-upon discount. Partner agrees to resolve any discount checkout failures immediately upon user or platform notification.
3. Merchant of Record & Taxes
Because checkout occurs directly on the Partner's website, the Partner acts as the sole **Merchant of Record** for all software sales to Workstak users. The Partner is exclusively responsible for billing, transaction disputes, refunds, and compliance with all global tax laws (including but not limited to GST, VAT, and Sales Tax collection and remittance).
4. Exclusivity Moat
To preserve the value of our curation, the Partner agrees to the following exclusivity terms during the active listing period:
- Deal Exclusivity: Partner shall not offer the same or better pricing, discounts, or license tiers for the same product on any other public discount aggregator, software directory, or third-party marketplace.
- Playbook Exclusivity: Any custom playbooks, workflows, or proprietary prompts developed specifically for the Workstak listing (whether co-authored or written by Workstak) are licensed exclusively to the Platform. Partner may not distribute these assets publicly or on competitor sites without prior written consent.
5. Listing, Curation & De-listing
Workstak maintains strict quality standards. We reserve the right to approve, reject, or postpone any listing at our sole discretion. We also reserve the right to temporarily pause or permanently de-list any tool that:
- Experiences high cancellation or user refund rates.
- Fails to maintain the features, API access, or performance standards presented during review.
- Leaves the promo code pool depleted for more than seventy-two (72) hours.
6. Playbooks & Intellectual Property
The IP rights for assets created for the listing are governed as follows:
- Partner Assets: Partner retains all ownership of their core software, trademarks, logos, and pre-existing documentation.
- Workstak Content: All custom playbooks, workflow steps, prompts, and templates authored by Workstak or specifically for the Workstak listing are licensed exclusively to the Platform.
- Marketing License: Partner grants Workstak a worldwide, perpetual, royalty-free license to use, display, and distribute Partner trademarks, screenshots, and product descriptions for promotional and sales purposes.
7. Warranties & Indemnification
Partner warrants that they own the software product, hold all necessary intellectual property rights, and that the software does not violate third-party rights or contain malicious code. Partner agrees to indemnify and hold Workstak harmless from any claims, losses, damages, or legal costs arising from tool malfunctions, service outages, security/data breaches, or billing disputes on Partner's systems.
