1. Introduction

Welcome to Workstak. By accessing or using our website at workstak.co (the "Platform"), you agree to be bound by these Terms of Service. These terms govern your use of the Platform as a visitor, waitlist registrant, or Buyers' Club Member.

2. Platform Role & Membership

Workstak operates a curated subscription membership (the "Buyers' Club") that provides Members with access to exclusive promotional codes, curated software stacks, and workflow execution playbooks ("Execution Kits"). Workstak is strictly an intermediary platform. Workstak is not the creator, seller, or merchant of record for the third-party software tools listed on the Platform.

All tool purchases are conducted directly on the respective partner's website using promotional codes provided by Workstak. The direct licensing agreement and transaction remain strictly between the Buyer and the third-party tool provider.

3. Subscription Fees and Billing

Access to Member benefits requires a paid subscription to the Workstak Buyers' Club (currently $99/year). All fees are billed in US Dollars (USD). For residents of Australia, the fee is inclusive of 10% Goods and Services Tax (GST). For residents of other jurisdictions, any applicable local sales taxes, VAT, or consumption taxes will be calculated and added at checkout where required by law. By subscribing, you agree to the following:

• Auto-Renewal: Your subscription will automatically renew at the end of each annual billing cycle unless canceled before the renewal date.
• Cancellations: You may cancel your subscription at any time through the self-service Stripe Customer Portal available in your user settings. Access will continue until the end of your current billing period. No refunds or credits will be issued for partial terms or unused periods.
• Billing Disputes: All subscription billing disputes must be submitted to Workstak support before initiating any formal chargebacks with your credit card provider. Unwarranted chargebacks may result in immediate account termination.

4. Promotional Code Pool and Limits

To ensure fair access to discount pools and prevent abuse, the following strict limits apply to all Members:

• Code Limits: Active Members are entitled to claim exactly one (1) promotional code per partner tool listing per user per year.
• Transfer Prohibitions: Promotional codes are issued strictly for individual/internal company use. You are prohibited from sharing, reselling, publishing, or distributing these codes to third parties or non-members.
• Abuse Policy: Using bots, automated scripts, or multiple accounts to harvest codes will result in immediate and permanent termination of your membership and a ban from the Platform without refund.

5. "Built-to-Deploy Standard" Disclaimer

Workstak frames its curated lists and playbooks under a "Built-to-Deploy Standard" vetting standard. This means our team manually tests the workflows for baseline utility, clarity, and efficacy before listing. However:

• Playbooks, prompts, templates, and setup workflows are provided "as-is" for educational, informational, and illustrative purposes.
• Workstak makes no warranties, express or implied, regarding specific business outcomes, financial returns, operational cost savings, or error-free execution on your systems.
• Under no circumstances does the term "Built-to-Deploy Standard" represent a contractual guarantee of tool performance or create an obligation of financial indemnity or software support by Workstak.

6. Third-Party Software and Liability Shield

Because you purchase software directly from our partners (either as a Buyers' Club Member using a promo code, or as a guest using an affiliate or referral link), Workstak disclaims all liability for third-party tools. We are not responsible or liable for:

• Partner tool downtime, service interruptions, or software bugs.
• Partner data breaches, privacy compliance violations, or customer data loss.
• Billing disputes, refund processing failures, or pricing changes occurring on partner websites.

Your sole recourse for software or transaction issues is with the third-party tool provider.

7. Intellectual Property

The Workstak brand, logo, platform design, and proprietary vetting methodology are the exclusive property of Workstak. Execution Kits and workflows authored by Workstak are licensed to you under a limited, non-transferable, personal license for internal use only. Partners retain all intellectual property rights to their respective software tools and brand assets.

8. Limitation of Liability

Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy under the Australian Consumer Law or other local consumer laws that cannot be lawfully excluded. To the maximum extent permitted by applicable law, Workstak's total liability for any claim arising from or related to these Terms, the Platform, or your membership shall not exceed the amount you paid to Workstak for your subscription in the twelve (12) months preceding the event giving rise to the claim.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of New South Wales, Australia, without regard to its conflict of law provisions.
